1. Who We Are

Sentinel Consolidated Systems is a Florida-based technology company that designs, builds, and operates purpose-built digital platforms for organizations in law enforcement, travel, wellness, and other industries. References in these Terms to "we," "us," or "our" mean Sentinel Consolidated Systems. References to "you" or "your" mean the individual or organization using our Services.

Our current platforms include Sentinel Reports (a consolidated end-of-shift reporting system for law enforcement and security organizations), Hermara (a flight booking and travel management platform), and Reconnecting Flow (a booking and client management platform for the Reconnecting Flow wellness practice). We may add, change, or retire platforms over time.

2. Acceptance of These Terms

By using our Services, you confirm that you have read and accepted these Terms. If you are using our Services on behalf of an organization (such as an agency, company, or other entity), you represent that you have the authority to bind that organization to these Terms, and "you" includes both you personally and the organization.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account or enter into an agreement with us.

3. Our Services

Our Services are delivered as web-based applications. You access them through a standard web browser on a compatible device with an internet connection. There is no software for you to install or maintain.

Each platform we operate is designed for a specific industry and purpose. The features and functionality available to you depend on the platform you are using, the subscription tier your organization has selected, and the role assigned to your individual account.

We continually improve our Services. We may add new features, modify existing features, or retire features that are no longer useful. We will use reasonable efforts to communicate significant changes in advance.

4. Your Account

To use most of our Services, you need an account. Accounts may be created directly by you, by an administrator at your organization, or through Single Sign-On with a connected identity provider such as Microsoft 365.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Some of our Services are offered on a paid subscription basis. The specific fees, billing frequency, and included features for your subscription are described in the order form, quote, or signup page you agreed to when subscribing.

If a payment is overdue, we may suspend access to the Services until payment is received. Significantly overdue accounts may be terminated.

8. Free Trials and Demonstrations

We may from time to time offer free trials or demonstration environments. These are provided for evaluation purposes only and may have limited features, limited data storage, or a limited time period. We may end, modify, or extend a trial at any time. Any data entered into a trial or demo environment may be deleted at the end of the trial period.

9. Your Content and Data

You retain all rights to the content and data you submit, upload, or store in our Services ("Your Data"). We do not claim ownership of Your Data.

You grant us a limited license to host, store, process, transmit, and display Your Data solely as needed to provide our Services to you, to maintain and improve those Services, to provide support, and to comply with our legal obligations.

Data Ownership and Export

While you are a customer in good standing, you can export Your Data using the export features built into our Services. If your subscription ends, we will provide you with a reasonable opportunity to retrieve Your Data before it is permanently deleted, in accordance with our data retention practices described in our Privacy Notice.

Backups

We maintain reasonable backups of customer data for disaster recovery purposes. These backups are intended to protect against system failures, not to serve as a substitute for your own records management. We recommend you maintain your own backups of critical information.

10. Our Intellectual Property

All rights, title, and interest in our Services (including the software, designs, logos, trademarks, documentation, and underlying technology) belong to Sentinel Consolidated Systems or our licensors. Nothing in these Terms transfers any of those rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use our Services for your internal business or personal purposes during the term of your subscription, in accordance with these Terms.

Our names, logos, product names, and trade dress are trademarks of Sentinel Consolidated Systems. You may not use them without our prior written permission.

11. Confidentiality

In the course of providing our Services, each party may have access to information that is confidential to the other party. Both parties agree to use any such confidential information only as necessary to perform under these Terms and to protect it using at least the same care they use to protect their own confidential information.

Confidential information does not include information that is publicly available, was already known to the receiving party, or is independently developed without reference to the disclosing party's information.

12. Third-Party Services

Our Services may connect to, integrate with, or rely on services provided by third parties to deliver certain features. Examples include Microsoft 365 for sign-in and email, Microsoft Teams for notifications, mapping providers for address suggestions, and payment processors for billing.

Your use of any third-party service through our Services is also subject to the terms and privacy practices of that third party. We are not responsible for the availability, content, security, or performance of third-party services. If a third-party service becomes unavailable, the features that depend on it may also become unavailable.

13. Service Availability and Support

We strive to keep our Services available and performing well around the clock. From time to time, we may need to take Services offline for scheduled maintenance, security updates, or other reasons. When practical, we will give advance notice of planned downtime.

We do not guarantee uninterrupted or error-free service. Internet outages, third-party service interruptions, severe weather, and other events outside our control may affect availability.

Customer support is available through the contact channels listed at the bottom of this page or as described in your subscription. The level and response time of support may vary based on your subscription tier.

14. Suspension and Termination

By You. You may cancel your subscription at any time using the cancellation method described in your account or by contacting us. Cancellation takes effect at the end of your current billing period unless we agree otherwise.

By Us. We may suspend or terminate your access to our Services if you violate these Terms, if your payment is significantly overdue, if we are required to do so by law, or if we reasonably believe your use is causing harm to us, to other users, or to the integrity of our Services. Where practical, we will provide notice and a reasonable opportunity to resolve the issue first.

Effect of Termination. When your access ends, your right to use the Services ends as well. Sections of these Terms that by their nature should survive termination (for example, those concerning ownership, confidentiality, disclaimers, limitation of liability, and governing law) will continue to apply.

15. Disclaimers

Our Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, except as expressly stated in these Terms or required by law. We do not warrant that the Services will be uninterrupted, error-free, secure against every threat, or that they will meet your specific requirements.

You acknowledge that no software is perfect, that data transmitted over the internet can be intercepted despite reasonable safeguards, and that you are responsible for evaluating whether our Services meet your needs.

Our Services are tools to support your operation. They are not a substitute for professional judgment, legal compliance, safety procedures, or appropriate human oversight of critical decisions.

16. Limitation of Liability

To the maximum extent permitted by law, in no event will Sentinel Consolidated Systems, its owners, employees, contractors, or partners be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of our Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total cumulative liability arising out of or related to these Terms or our Services will not exceed the greater of one hundred United States dollars (US$100) or the total amounts you paid us for the Service giving rise to the claim during the twelve (12) months immediately before the event that gave rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless Sentinel Consolidated Systems and its owners, employees, contractors, and partners from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms, (b) your misuse of our Services, (c) Your Data or your right to use it, or (d) your violation of any applicable law or third-party right.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or our Services will be the state or federal courts located in Volusia County, Florida, and you consent to the personal jurisdiction of those courts.

You and we agree to attempt in good faith to resolve any dispute informally before initiating any formal legal proceeding. To begin, send a written notice describing the dispute to the contact information at the end of this document.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, our business, or applicable law. When we make a material change, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through a notice within the Services.

Your continued use of our Services after the updated Terms take effect means you accept the updated Terms. If you do not agree, you should stop using the Services and contact us to cancel your subscription.

20. General Provisions

Entire Agreement. These Terms, together with any order form or written agreement signed by us, constitute the entire agreement between you and us regarding our Services and supersede any prior agreements on the same subject.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Neither party is responsible for any failure or delay caused by circumstances beyond reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government action, labor disputes, or widespread internet or utility outages.

Notices. We may send you notices by email to the address on your account or by posting them within the Services. You agree that electronic notices satisfy any legal requirement for written communication.
